If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court. Restrictions The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. Exceptions to Informal Negotiations and Arbitration The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it. USER DATA We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. By agreeing to this document you help us to maintain a safe, and mutually beneficial space for Members and their guests to interact. The Basics You must be old enough. We are all adults here. The Snugg Community is open to individuals 18+ in age in the United States and Canada. By using the platform you are certifying that you meet this requirement and are over the age of 18 as either a Member or a user booking with a Member. Member Standards: Video Sessions Video sessions are the primary feature on Snugg. Creating availability, booking sessions, and collecting payment(s) on Snugg means you, as a Member, are responsible to show up to your sessions and be on time. The immediate repercussion of not showing up to a booked session is not getting paid. Frequent lateness to sessions after the majority of the session time has passed will result in a warning and eventual ban from the platform. If you fail to show up for multiple sessions your account may be banned without warning and your funds will either be returned to users (in cases that pertain to future bookings) or released to Snugg (for sessions not yet paid out). We really don’t want to ban you, and we want you and your guests to be happy. Show up and be on time, it’s that simple. If for any reason you can’t show up for a session, you have the ability to cancel it before the scheduled start time. Cancelling a session will refund the user their full amount paid, and the Member will be responsible for the refund processing fee 10% which will be taken from the available balance of their Stripe account. As a Member, you have the ability to freely reschedule your session at any point up until 90 days from the sessions original purchase date. Member Community Standards Updated 12-19-2020 At Snugg we recognize how important it is for us to facilitate a space where people feel empowered to communicate authentically, freely, and peacefully. That’s why we have developed a set of Community Standards that outline what is and is not allowed on Snugg and in the Snuggery of a Member. What you can and can’t do on our platform. We will remove content and ban any account that glorifies violence or celebrates the suffering or humiliation of others because it may create an environment that discourages participation. We know that people value the ability to discuss important issues like human rights abuses or acts of terrorism. We also know that people have different sensitivities with regard to graphic and violent content. For that reason, we do not permit these subjects to be advertised on the Snugg platform related to your profile or as session types. Aside from the advertising publically of this content through your snuggery, the conversations you choose to have with your followers are private unless a complaint is lodged with the platform at which time your conversation and material will go under review. We aim to prevent potential offline or online harm that may be related to content on Snugg. While we understand that people commonly express disdain or disagreement by threatening or calling for violence in non-serious ways, language or content on your Snuggery that incites, provokes, or facilitates violence or illegal acts will be removed and your account will be placed under review. For any account that is placed under review for these circumstances we will assess the need to work with law enforcement when if its determined there is a genuine risk of physical harm or a direct threat to public safety. Circumstances include: Terrorist activity Organized hate Mass or serial murder Human trafficking Organized violence or criminal activity We also remove content that expresses support or praise for groups, leaders, or individuals involved in these activities. We restrict the display of nudity, sexual activity, or overly sexually explicit content because some people in our community may be sensitive to this type of material. Additionally, we default to removing sexual imagery to prevent the sharing of non-consensual or underage content. Accounts violating this policy are subject to immediate removal from the platform. We understand that individuals may use Snugg to discuss and draw attention to sexual violence and exploitation. We recognize the importance of and want to allow for this discussion. We draw the line when content facilitates, encourages or coordinates sexual encounters between adults or uses the platform to facilitate for visual or verbal sexual acts including their payment. We also restrict sexually explicit language that may lead to solicitation because some audiences within our Snugg community may be sensitive to this type of content and it may impede the ability for followers to connect with their Members. The Snugg platform does not permit the advertising of, or participation in sex work of any kind. Accounts that violate this policy will be subject to immediate removal without warning. At Snugg we have high expectations for our Members as professional representatives of our platform. Content that can be perceived as cruel and insensitive, or could be defined as targeting victims of serious physical or emotional harm will not be tolerated and will be subject to platform review. We do not allow hate speech on Snugg because it creates an environment of intimidation and exclusion and in some cases may promote real-world violence. Our platform is based on the foundation of human connection, and we believe this can be adequately accomplished without verbalizing or advertising these discussions. We define hate speech as a direct attack on people based on what we call protected characteristics — race, ethnicity, national origin, religious affiliation, sexual orientation, caste, sex, gender, gender identity, and serious disease or disability. During a Video Session During a video chat clothing is NOT optional. If a session is ended or terminated because of violation of the [user agreement], Snugg staff may have the ability to review the video material to determine what actions were in violation. We should not have to guess whether or not the user or the Member are wearing clothing. Staff reserves the right to suspend the account of a Member or user for nudity, sexual content, clothing that is too revealing, or any visible material that is deemed inappropriate for Snugg audiences. We understand that not all followers/users will be respectful to the Member when engaging in a video/audio call. For the protection of our Snugg Members we give them the ability to End a Session at any point during an active Session conversation. When a Session is ended by the Member, the two-way video window will close and the chat feature will no longer be available. When Ending a Session the Member will have the option to tell us that everything went well as planned, or there was a problem at which point they will be prompted to give us further clarification. Selecting either option does not affect the Members payout, and the funds for this session will be available in the Payments dashboard. If the Member Ends a Session because their guest violated the User Agreement, that guest will no longer be able to book a session with that Member by using the email address they provided for booking the original session. Equally, users are given the ability to, at any point, lodge a formal complaint if they feel as though a Member violated this Member Agreement. These formal complaints will be subject to review via a Snugg Mediator at which point Snugg will decide whether to drop the claim, refund the cost of the session to the user, and/or review the standing of the Member as a Member of Team Snugg. A formal complaint from a user will also be matched to the reason for Session Termination from the corresponding Member, and additional follow up may be required. Misuse or abuse of the “End Session” without the session time being completed, or reporting unwarranted claims form or buttons may result in the Member becoming banned from the platform. Assumption of Risk I understand that Snugg LLC is not liable or responsible for any results or lack of results, including loss of finances or time, while using its websites, platform, or conversing/interacting with its users on or off the platform. I assume all risks and promise (along with any reporting parties) not to bring suit. Payment and Fees We all love to get paid. When a user makes a purchase on Snugg there is a total Platform Fee of 10%. Of this amount Snugg receives 7% and Stripe receives 3% . Donations are commission free which means Snugg is not making money for these transactions. There is a 4% fee which covers payment processing and withdrawal of funds. You are eligible to collect your funds from a session or from multiple sessions after those sessions have been completed. If a guest booked a session with you within 48 hours of the start time, their payment may not yet be available for payout. Payments for any feature are available in the Payments dashboard. Check this dashboard regularly to view and collect available payouts. Sometimes your first payout takes a little longer in order to establish the Stripe account. If you have any further questions about transactions you can view your complete account profile through Stripe dashboard which is available in Payments. Refunds Refunds can be performed by Members. Since the Platform Fee must be included, Refunds cost you an additional 10% so that your guest is refunded their full amount paid. These funds will be deducted from the current balance of your Stripe account. If you do not wish to be charged we recommend rescheduling the session. Cancellations Any request to cancel a session will result in the initiation of a refund. I hereby represent that the following is true and accurate: I have read this entire Agreement, understand the words and language in this Agreement, and agree to all of the terms and conditions of this Agreement. I am at least 18 years of age and I have the right to contract in my own name I have read, understand, and agree to abide by the Snugg LLC Member Standards and policies.
